POSITION SUMMARY

The Corporate Governance, Risk & Projects Manager will be responsible for leading and enhancing corporate governance, risk management, and enterprise-wide project coordination to support AGT’s strategic and operational objectives. This key position will ensure effective Board operations, regulatory compliance, and governance oversight, while driving key business initiatives such as infrastructure development and property acquisitions. The role provides high-level support to the Executive Leadership Team and Board.

KEY RESPONSIBILITIES

Corporate Governance & Company Secretarial Duties

  • Act as Company Secretary, organising and coordinating Board and Board appointed subcommittee meetings, including scheduling, agenda development, and distribution of papers.
  • Attend Board and Board appointed subcommittee meetings, prepare accurate minutes, and track action items to ensure timely follow-up and completion.
  • Manage Board travel and logistics.
  • Provide governance advice and support to the Board and Executive, ensuring compliance with statutory and regulatory obligations.
  • Maintain accurate company records, registers, and governance documentation.

Risk & Compliance

  • Support the oversight and monitoring of AGT’s risk management framework, including risk registers and mitigation strategies.
  • Ensure compliance with relevant policies and procedures.
  • Contribute to the development and review of relevant policies, procedures, and governance frameworks.

Project Coordination & Business Support

  • Coordinate cross-functional projects, including infrastructure upgrades, land and building acquisitions, and capital works.
  • Oversee project planning, stakeholder engagement, and reporting for infrastructure and property-related initiatives.
  • Assist with research and analysis of business opportunities, including business expansion activities.
  • Facilitate due diligence, coordination, and integration activities for strategic initiatives.

Executive Support

Assist the Executive team with the preparation of Board and Board appointed subcommittee papers, reports and presentations.

  • Coordinate Executive meetings, including agenda development and action tracking.
  • Undertake special assignments and enterprise-wide initiatives.

KEY COMPETENCIES

  • Exceptional organisational and time management skills, with the ability to manage competing priorities.
  • Strong written communication skills, including the ability to draft high-quality reports and correspondence independently.
  • Proven experience supporting a Board and senior executives, including minute-taking and agenda facilitation.
  • High-level interpersonal and negotiation skills, with the ability to engage effectively across all levels of the business.
  • Demonstrated ability to work autonomously and collaboratively within a team environment.
  • Trustworthy, with a high level of discretion and ability to manage confidential information.
  • Ability to exercise independent judgment, take initiative, and adapt to changing priorities.
  • Project management skills, including scheduling, and stakeholder coordination.

QUALIFICATIONS & EXPERIENCE

  • Minimum of 5 years’ relevant professional experience
  • Tertiary qualifications in Business or a related field.
  • Governance or Company Secretary accreditation (e.g., GIA or AICD) is desirable.
  • Demonstrated experience in governance and compliance ideally within an agricultural, research, or corporate environment.
  • Prior experience preparing and writing Board and Executive-level reports and strategic documents.
  • Experience in researching, developing, and implementing policies, and procedures.
  • Experience coordinating infrastructure projects, land/building acquisitions, or capital works is desirable.
  • Valid Driver's license
